Members Rules

1. DEFINITIONS

In these Rules, the following definitions will apply:

“Club”

means the Club10m+ club.

“Club Founder”

CLUB10MPLUS LIMITED a company registered in England with company number 13234055 and whose registered office address is 142 Cromwell Road, London SW7 4EF.

“Event”

means any meeting or other event for Members hosted or promoted by the Club as a Club Event.

“Executive Committee”

means the committee or board consisting of Officers and Members elected / nominated to operate and manage the Club.

“Intellectual Property”

means all intellectual property rights of in any part of the world including patents, trademarks, trade names, concepts and ideas, registered and unregistered designs and copyrights, designs, software, domain names, discoveries, creations and inventions and all know how and confidential information relating to them.

“Member”

means a person who has been admitted as a Member of the Club in accordance with these Rules.

“Membership Year”

means, in respect of each Member, the period of 12 months from the date of their Membership commencing.

“Subscription Fee”

means the annual subscription fee payable by a member for Membership of the Club, which is £1,500 per annum (commencing from 1st January 2022, prior to that date the Subscription Fee is being waived).

                       

2. CLUB RULES

2.1       By accepting Membership of the Club, the Member agrees to abide by these Member Rules.

2.2       The Club is a proprietary club owned by the Club Founder. The control and administration of the Club shall be exercised by the Club’s Executive Committee in accordance these Rules, which may be amended or updated from time to time.

2.3       The Club reserves the right at any time to:

(i)        Offer different types of Membership of the Club with different entitlements included at different levels of membership subscription.

(ii)        Modify or cease any entitlements relevant to each Membership type enjoyed by each Member.

3. MEMBERSHIP ENTITLEMENTS

3.1       Members shall be entitled to the following benefits during their Membership Year:

(i)         be entitled to admission to all Events;

(ii)        be entitled free of charge to enjoy complimentary food and drink, if and to the extent provided at Events;

(iii)       shall be entitled to benefit from contacts gained and introductions made to other Club Members.

3.2      Members accept that the Club may at the discretion of the Club Founder amend or update Membership entitlements at any time.

4. MEMBERSHIP

4.1       The duration of all Memberships is for a minimum of 12 consecutive months.

4.2       The Member shall provide true and accurate information to the Club’s Executive Committee in relation to any application for, or renewal of, Membership.

4.3       A prospective Member shall complete all forms and provide all supporting information as may be requested by the Club. The Club may also require the prospective Member to attend a Membership interview prior to being accepted as a Member of the Club. Membership may be refused to any person in the absolute discretion of the Executive Committee and without giving any reason.

4.4       The Member agrees to pay the annual Subscription Fee up front, prior to their Membership commencing. The Executive Committee will decide, usually within 14 days, whether or not a prospective member has been granted Membership. In the event that the Executive Committee determines at its entire discretion not to award membership, the amount of the Subscription Fee shall be returned to the prospective member, less an administration free of £195. The Executive Committee does not need to give any reason for a refusal to accept a membership application.

4.5       Each subsequent annual Subscription Fee shall be payable within 30 days of the commencement of the new Membership Year.

4.5       Unless the Member’s Membership is terminated by either the Club or the Member giving to the other not less than 30 days’ notice prior to the end of the current Membership Year, the Member’s Membership shall continue automatically into the new Membership Year, and the new Subscription Fee for that new Membership Year shall become payable.

4.6       A Member who breaches any of the Members Rules or Club Constitution will be liable to have their Membership terminated immediately. In such a case, no refund of any part of the annual Subscription Fee will be made.

4.7       Memberships is personal to the Member only and may not be transferred to any other person.

4.8       Each Member shall advise the Club of any change of address or relevant information.

4.9       The Club reserves the right to change the Subscription Fee in subsequent Membership Years. Any changes to the fee shall be notified to the Member not less than 60 days before such changes come into effect.

4.10    A Member may terminate their Membership at any time. However, any Subscription Fees paid are non-refundable.

5. GUESTS

5.1       If the Member wishes to bring any guests to attend any Club Event, the Member shall first obtain permission from the Executive Committee and shall provide to the Executive Committee such details of the guests as may be requested.

5.2       Subject to the terms of clause 5.1, the admission of any guests remains solely at the discretion of the Club and its management. Where guests have been permitted they must be accompanied by the Member (unless the Executive Committee has given their prior consent).

5.3       Members shall be responsible for their guests at all times and shall be responsible for ensuring that they observe all Member Rules. Any breach by a Member’s guest shall be deemed a breach by that Member, and that Members shall be responsible for any consequences of the breach.

5.4       The Club reserves the right to make a charge for guests to attend Events, as may be applicable in the circumstances.

6. CONDUCT

6.1       Each Member (and any guests) shall observe the rules and codes of conduct set out by the Club.

6.2       Members (and their guests) shall take responsibility for the security and safety of their own belongings and property. Each Member (and their guests) agree that the Club is not liable for any belongings or property or for any claim or expense resulting to loss or damage to Member’s or guest’s property.

6.3       Members and their guests are required to be attired in a clean and tidy manner when in attending any Club Event. Drunkenness, bad language, violent or abusive behaviour, being under the influence of non-prescription drugs, or any other misconduct is strictly prohibited and will lead to the suspension or expulsion of a Member.

6.4       The Club (acting through any member of the Executive Committee) may refuse admission or eject Members (or their guests) from any Event, at their entire discretion.

7. INTELLECTUAL PROPERTY

7.1       All Intellectual Property relating to the Club shall remain solely owned by the Club and the Club Founder.

7.2       No Member or guest shall use the name or address, or colours, trademarks, photographs, trade dress, logo or other identifying feature(s) of the Club (the “Club Marks”) without the prior written permission of the Executive Committee.

7.3       Each Member and its guests hereby expressly recognise that the Club Marks are the valid, unique and exclusive property of the Club and the Club Founder.

8. AMENDMENTS TO THE RULES

8.1       These Rules may be revoked, supplemented or amended by the Executive Committee of the Club at any time.

9. LIABILITY OF THE CLUB

9.1       The Club is not liable for any business or financial losses. The Club will have no liability for any loss of profit, loss of business, business interruption or loss of business opportunity arising for any reason, including due to attending any Event or being a Member of the Club.

9.2       The Club does not exclude or limit in any way its liability to Members where it would be unlawful to do so. This includes liability for death or personal injury caused by the Club’s negligence or the negligence of its employees, agents or subcontractors; or for fraud.

9.3       If the Club fails to comply with these Rules or if for any reason it becomes responsible for any loss or damage caused to a Member, the liability of the Club shall not exceed the amount of the Subscription Fee paid by the Member.

10. DISPUTES

10.1    Any dispute which may arise as to the meaning or interpretation of these Rules or the powers of the officers or employees of the Club and/or shall be determined by the Executive Committee, whose decision is final and binding on all Members.

11. DISSOLUTION

11.1    In the event of the termination or dissolution of the Club, the Members shall not have any right to, or claim upon, any property of the Club, or be required to share in any liabilities, and shall not be entitled to any refund of any Subscription Fee paid.

12. OTHER RULES

12.1    The Club may transfer its rights and obligations under these Rules to another person or entity. A Member cannot transfer their rights to any other person or entity unless the Executive Committee agrees to do so in writing.

12.2    These Rules are personal to Members and no other person shall have any rights under these Rules.

12.3    Even if the Club delays in enforcing any of these Rules, it can still enforce them at a later time.

12.4    These Rules and the Club Constitution shall be governed by English law and Members agree to submit any legal proceedings arising from them to the sole jurisdiction of the English courts.
